 I gotta ask (325 v. 330)

I haven't read all there is to read about the E90, but I'm
curious . . . A few years from now, why couldn't I go to
an independent shop w/ my 325 and get a 330 "upgrade"?

Are there any mechanical differences between the two?

Well known differents are software, single/3 stages induction system, Gear box, etc...

The way I see it, no upgrade is going to match BMW's quality and pricing if had simply purchased the 330i from the start.

I seriously wouldn't bother upgrading the car in 3 years, there are a few reasons.

3 years down the line, why bother investing money into a 3 year old car just for a 'little' more power? Put the money into a new car! Plus, if you are going to change the car, do it within the first year, that way you'll get the maximum enjoyment out of it.

Here are the major differences again on the 330i vs 325i:

Xenon lights
Upgraded Sound System
40HP
Bigger Brakes
Bigger Rims

Difference between 325i and 330i as we all know is $6k. I don't know the prices for these parts aftermarket, and I didn't even mention labor yet.

Sorry. I should've been more specific. I was thinking of differences in the engine only.
Is the 40HP just a S/W change in the E90? In my mind I'm picturing a lot of BMW
employees riding around in 255HP 325's.

Absolutely not. Do a search on "intake manifold" and you'll see why. The 325 would need to be seriously modded far beyond software upgrades to get the engine performance where the 330 is at. And while the 330 is only 30 hp greater (255 vs 215) it does have a lot more torque. 185 lb./feet for a 3.0 liter 6 is on the low end. I believe the 330 is somewhere around 220 ft./lb.
