They are powered, push down on the seatback tilt lever on the side of your seat.

Its the front seat.

Another question, does the rear seat fold to give way to trunk, I would assume no, I was looking for a latch or something but didn't find anything that would allow the seat to fold.

Some do. Some don't.

Front seat head-rest is electronically controlled via button (one of many) on the lower side of the seat.

The rear seat may fold-down. Fold-down rear seat is an option available on the E39. There will be a handle/button with a keyhole next to it on the upper portion of each side of the rear seat. You simply push it and pull the seat down. It is like a 60/40 split for the fold-down.

I will always order my BMWs with a fold-down rear seat assuming its available...it is way too handy a feature to have.
